会上,各(ge)(ge)位(wei)子公司(si)董(dong)事长分(fen)(fen)别汇报了(le)本企业2017年以来董(dong)事会运行情况及(ji)个人(ren)履职(zhi)(zhi)情况;董(dong)事和(he)(he)董(dong)事会秘书代表围绕本职(zhi)(zhi)工(gong)作(zuo)汇报了(le)个人(ren)履职(zhi)(zhi)情况和(he)(he)工(gong)作(zuo)体会。集团董(dong)事会成员对(dui)各(ge)(ge)子公司(si)董(dong)事会运行情况和(he)(he)取得(de)的(de)成绩给予了(le)充分(fen)(fen)肯定,并对(dui)进(jin)一(yi)步(bu)改进(jin)工(gong)作(zuo)提出(chu)了(le)意(yi)见和(he)(he)建(jian)议(yi)。
郭建新董(dong)事(shi)(shi)长指(zhi)出:近年来,各(ge)(ge)子(zi)公(gong)司董(dong)事(shi)(shi)会(hui)(hui)准(zhun)确定位(wei),不懈致(zhi)力于“定战略、抓改(gai)革、控风险、强(qiang)管理(li)”,制度(du)体系进一步(bu)(bu)健全,决(jue)策科学性和运行效率进一步(bu)(bu)提高,对(dui)完善公(gong)司治理(li)把(ba)握更加准(zhun)确到位(wei)。他强(qiang)调(diao)各(ge)(ge)子(zi)公(gong)司董(dong)事(shi)(shi)会(hui)(hui)在今后工(gong)作(zuo)中要做(zuo)好(hao)(hao)以下几(ji)点:一是要进一步(bu)(bu)加强(qiang)董(dong)事(shi)(shi)会(hui)(hui)工(gong)作(zuo)的(de)计划性、前瞻性;二是要坚持董(dong)事(shi)(shi)会(hui)(hui)的(de)准(zhun)确定位(wei);三是要紧(jin)紧(jin)围绕(rao)重(zhong)大决(jue)策的(de)落(luo)实开展好(hao)(hao)督导(dao)工(gong)作(zuo);四(si)是不断完善公(gong)司治理(li),按有关要求设置好(hao)(hao)决(jue)策程序;五是要为外部董(dong)事(shi)(shi)履职(zhi)尽责及时准(zhun)确提供各(ge)(ge)项资料(liao)并做(zuo)好(hao)(hao)调(diao)研安排;六是董(dong)事(shi)(shi)会(hui)(hui)秘书要恪尽职(zhi)守,把(ba)作(zuo)用发挥到位(wei);七(qi)是要加强(qiang)各(ge)(ge)方的(de)沟(gou)通(tong)与(yu)协调(diao)。
